Terms & Conditions

These Terms & Conditions (“Terms”) are a binding agreement between you and Spy LLC (“Spy”, “we”, “us”), a limited liability company. They govern your use of the Spy matchmaking service, the website at joinspy.ai, and anything related (together, the “Service”).

By joining the waitlist, signing up, or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility

To use the Service you must:

• Be at least 18 years old. There are no exceptions.
• Be able to enter a binding contract where you live.
• Not be barred from receiving the Service under any applicable law.
• Not have been previously suspended or removed from the Service.
• Live in, or have a genuine local presence in, a city we serve — currently Washington, DC.
• Give us accurate, current and complete information about yourself.
• Never have been convicted of a sexual offence, and not be required to register as a sex offender.

We may take steps to check your age and identity, and we may refuse, suspend or end the Service for any lawful reason, including suspected misrepresentation.

2. What the Service is

Spy introduces people to one another and delivers those introductions by text message. It is not a swiping app, a feed, a social network, or a location-based discovery tool.

Matching draws on what you tell us: the personality assessment you complete at sign-up, the values and preferences on your profile, and your answers to the questions Spy asks in conversation. Decisions are made by a combination of automated processing and human review.

We do not guarantee outcomes. We do not promise you will receive any match, any particular number of matches, that a match will reply, or that anything will come of it.

Parts of the Service are automated or AI-assisted, including the questions Spy asks in a conversation and parts of the matching. Automated output can be wrong, clumsy or unhelpful despite reasonable care, and you accept that limitation by using the Service.

3. Text messages — your express written consent

3.1 What you are agreeing to receive

• Sign-up messages — questions, prompts and confirmations while you join.
• Match messages — introductions, profile details, and the yes/no prompts that go with them.
• Questions — the periodic questions Spy asks inside a conversation.
• Service messages — account notices, security alerts, changes to these Terms.
• Support replies — answers to things you ask us.

3.2 The disclosures

• Message frequency varies with your activity and how many matches are available.
• Message and data rates may apply. Spy does not charge for texts; your carrier may.
• Reply HELP for help, or email support@joinspy.ai.
• Consent to receive texts is not a condition of any purchase — but because the Service runs over text, you cannot use it without agreeing to receive them.
• Carriers are not liable for delayed or undelivered messages.
• Supported carriers include AT&T, Verizon, T-Mobile, US Cellular and other major US carriers.

3.3 Stopping messages — an absolute right

You can stop Spy texts at any time, for any reason, with no penalty. Reply STOP to any message. We also honour STOPALL, UNSUBSCRIBE, CANCEL, END and QUIT.

Once you opt out:

• You get one confirmation message, and nothing after it.
• We send you no further texts of any kind — not matches, not questions, not service updates, not surveys, not win-backs. Nothing.
• It takes effect as soon as our system processes it, normally within seconds.
• Because the Service runs over text, opting out ends your active use of it. We stop matching you and treat the account as inactive.
• Opting out does not delete your data. To delete it, email privacy@joinspy.ai or use the deletion request page.
• To start again you must opt back in — text START to our number, or sign up again at joinspy.ai. We will not message you before you do.

We keep records of consent and opt-outs for at least four years, as federal law requires.

4. Your account and how you behave

Give us your real first name, your real age, and recent photographs that are actually of you. Keep control of your phone number and your account.

You agree not to:

• Use the Service if you are under 18, or help anyone under 18 use it;
• Impersonate anyone, or misrepresent your identity, age, gender or relationship status;
• Use photos that are not of you, are someone else’s, or are generated to misrepresent your appearance;
• Use the Service while in an exclusive relationship without telling the person you are matched with;
• Harass, threaten, stalk, defame, or send sexually explicit or hateful messages;
• Ask other people for money, gifts or financial information;
• Advertise or sell anything, including escorting or sex work;
• Use the Service for anything unlawful, including trafficking, fraud or romance scams;
• Collect or harvest other people’s information — numbers, photos, messages;
• Share or publish someone else’s photos, messages or personal information without their consent;
• Use bots, scrapers or scripts against the Service;
• Try to extract or reverse-engineer our matching logic, prompts or source code;
• Interfere with the Service, or get around a security feature or rate limit;
• Hold more than one account, or re-register after being removed.

Breaking these rules can mean immediate suspension or removal, and referral to law enforcement where that is warranted. Our Community Guidelines form part of these Terms.

5. Your content

“Your content” means anything you send us: profile details, photos, answers, messages, feedback.

You keep ownership of it. You give us a worldwide, non-exclusive, royalty-free licence to store, copy, display and transmit it, only in order to run and improve the Service, to show your profile to people we match you with, to enforce these Terms, and to meet our legal obligations.

That licence ends when you delete the content or your account, except for backup copies held for a reasonable period, anything already shared with someone you matched with, and anonymised aggregate data.

You confirm that you have the right to send us what you send, that it does not infringe anyone’s rights or break any law, and that your photos are of you and were taken within the last twelve months.

We do not have to publish or transmit anything, and may remove content that breaks these Terms.

6. Safety, and what is your responsibility

We remove people who abuse the Service when we find them, but we cannot guarantee anyone’s conduct. You are responsible for your own interactions, including meeting in person. We strongly recommend you:

• Meet the first time in a public, well-lit place;
• Tell someone you trust where you are going and when;
• Arrange your own transport;
• Never send money or share financial details — we will never ask for money, and neither should a match;
• Leave any situation that feels wrong, and trust that instinct;
• Report anything unsafe to support@joinspy.ai, and to the police when that is the right call.

Spy is not responsible for the conduct of any member, online or offline, or for any harm, distress, loss or outcome arising from your use of the Service. We are not a party to your conversations, dates or relationships. To the fullest extent the law allows, you release us from claims arising out of your interactions with other members.

7. Reporting, moderation and zero tolerance

There is zero tolerance for abusive members or objectionable content: sexual content involving minors, harassment, threats, hate speech, non-consensual images, solicitation, or scams.

Every conversation gives you a way to report and to block. Blocking ends contact immediately. We review reports of objectionable content and remove offenders within 24 hours of a report, up to permanent removal and referral to law enforcement. You can appeal a decision at support@joinspy.ai.

8. Cost

Spy is free to use and has no tiers, no subscription and no paid upgrades. If we ever introduce a charge, we will say so clearly and ask for your agreement before it applies to you — we will not convert a free account into a paid one silently.

9. Intellectual property

The Service — its design, text, code and brand — belongs to Spy and is licensed to you for personal, non-commercial use only. Copyright complaints: dmca@joinspy.ai.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. To the fullest extent the law allows, Spy disclaims all warranties, including merchantability, fitness for a particular purpose, non-infringement, accuracy and reliability.

We do not warrant that the Service will be uninterrupted or error-free, that you will receive matches, that other members are truthful, that any outcome will follow, or that automated and AI-assisted parts of the Service will be free of error or bias.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY OR PUNITIVE DAMAGES — including lost profits, lost data, emotional distress, or physical or psychological harm — arising out of your use of the Service, your interactions with other members, or any third-party service.

Our total liability for any claim is limited to the greater of the amount you paid us in the twelve months before the claim, or one hundred US dollars ($100). Some places do not allow these limits, so some may not apply to you. Nothing here excludes liability that cannot lawfully be excluded.

12. Indemnity

You agree to indemnify and hold harmless Spy and its people from claims, damages, losses and reasonable legal costs arising out of your use of the Service, your breach of these Terms or of any law, your content, or your interactions with other members.

13. Changes

We may change, suspend or discontinue any part of the Service. We may also revise these Terms. For material changes we will tell you — by text if you have not opted out, or by a prominent notice on joinspy.ai — at least 14 days before they take effect. Continuing to use the Service after that means you accept them.

14. Ending the agreement

You can stop at any time: reply STOP to end messages, and request deletion to remove your data. We may suspend or end your access if you break these Terms, or if we stop offering the Service. Sections 5–12 survive termination.

15. Governing law

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict-of-laws rules. Any dispute will be brought exclusively in the state or federal courts located in the Commonwealth of Virginia, and you agree to their jurisdiction.

Virginia governs this agreement; the city we currently serve is Washington, DC. Those are two different things and both are correct.
